Moose Mamas (Alaska, USA)Veles (Sain Petersburg, Russia) AGREEMENT Dependent on the options you select above, you hereby grant Anna Phillips Photography LLC (Moosefoto) the following license and/or rights management: Video, photo, art project and/or article feature with Moosefoto. You are granting Moosefoto an exclusive, worldwide, commercial, sub-licensable and transferable license to use, reproduce, distribute, edit, syndicate, prepare derivative works of, display, perform, publish and otherwise exploit the video (photo and/or article) by any and all methods or means, whether now known or hereafter devised, in any manner for any purpose whatsoever as Moosefoto in its sole discretion may determine. Postproduction and editing: The final post production and editing styles, effects, descriptions and overall look of the images/photo/article are left to the sole discretion of Moosefoto. Payments: Client shall make a full payment up-front. It client fails to remit full payment as specified above, Moosefoto shall have the right to immediately terminate this Agreement with no further obligation, retain any monies already paid, and not provide any services. Returned checks will be assessed as non-sufficient funds fee of $30.00. Standard price list: The charges in the Agreement are based on Moosefoto’s Standard Price List. This price list is adjusted periodically, and future orders shall be charged at the prices in effect at the time when the order is placed. Responsibities and force majeure: Moosefoto is not responsible for compromised coverage due to causes beyond the control of Moosefoto including but not limited to Instagram Algorithms, viewer interest, schedule complications, incorrect material (photo, video, art project, article) provided, governmental mandates or any other occurrences outside the control of Moosefoto. In such an event, Moosefoto will be entitled to keep the payment, be reimbursed for any expenses already incurred, and Mosefoto shall have no further liability with respect to the Agreement. Moosefoto is not responsible for quality of materials (photo, video, art project, article) provided by client, which may negatively impact or restrict the expected result. Client warrants that s/he has authority to enter into, and to be bound by, this Agreement, that the photos/videos/art project/articles provided to the Moosefoto pursuant to this Agreement will not infringe any copyrights or other intellectual property rights, will not contain libelous or unlawful matter, and will not violate the privacy rights of any individual. Client agrees to indemnify and hold harmless Moosefoto against any claims or losses resulting from or caused by Clients’s violation of the terms of the preceding sentence. Model release: Client hereby assigns Moosefoto the irrevocable and unrestricted right to use and publish photos, videos, art projects and/or articles of Client or in which Client may be included, for editorial, trade, advertising, educational and any other purpose and in any manner and medium; to alter the same without restriction; and to copyright the same without restriction. The Client releases all claim to profit that may arise from use of images.
